Definition of Terms Used

GTU : Current Term of Use of the Nok Nok CAFE Service

NNC : Nok Nok Café Inc., a company incorporated under the Canada Business Corporations Act, registered in Canada under number 996498-3 and at the Registraire des Entreprises du Québec under number 117,229,308.

Hosts : Physical persons organizing meetings with Visitors.

Meeting Point : Location where the Host greets the Guests

Menu : A list of non-alcoholic hot drinks and options at the offered discretion of the host.

Options: Refers to amenities offered by the host such as Wi-Fi, terrace, smoking area, music…

Services : Refers to all the services offered by NNC on its Website www.noknokcafe.com and through the Application.

Visitors : registering for the NNC meetings held by Hosts.

Users : Hosts and/or Visitors of the Website and/or Applications that have accepted the NNC Terms and Conditions of Use.

NNC Meeting : Meetings fixed on a specific day and time to exchange on different subjects related to Hosts and Visitors around a non-alcoholic hot beverage.

Website : the Website is available at www.noknokcafe.com

Applications : The Nok Nok CAFE applications are available under iOs and Android.

Plateform : Virtual introduction between Visitors and Hosts through the NNC Website and Applications to organize meetings.

Member : Refers to any User registered on the site and/or mobile Application, having agreed to the NNC terms and conditions of use.

Profile : Digital space of each individual and active User.

NNC uses cookies on its www.noknokcafe.com Website as well as on its Applications for the sole purpose of their operation.

You acknowledge that NNC can store personal information and other information about you on your computer in the form of cookies. You acknowledge and agree that if you prohibit or limit the storing of cookies on your computer, this prohibition or restriction can prevent the optimal use of the www.noknokcafe.com Website and Application.

You acknowledge and agree that NNC can also store personal information about you on its servers in Canada or outside this country’s borders. By using the www.noknokcafe.com Website and/or the Application, you acknowledge and agree that NNC may, in its sole discretion:

  • Retain or disclose this information if required by law or if there are serious reasons to believe that the preservation or disclosure of such information is necessary to comply with legal process.
  • Enforce the conditions and terms of the present ToU.
  • Respond to complaints regarding any content, Users or any NNC meetings which could affect the rights of a third party.
  • Protect the rights, property and safety of NNC, users or the public.
  • Compile statistics on the use of the Website and the NNC Applications.

By providing your personal information, such as your email address, you consent to receive electronic communications related to the Service offered by NNC and/or any related Service.

1. Introduction

Welcome to Nok Nok CAFE, the first platform allowing you to initiate new business relationships around a warm soft drink, with people from here and around the world. We are happy to welcome you! Come have a coffee!

We recommend that you CAREFULLY read its GToU, and contact us for any question at contact@noknokcafe.com
Access and use of the Services constitute acceptance of the present GToU establishing a contractual relationship between the user and NNC.
NNC may at its own discretion change its GToU as they apply to the Services, these taking effect upon their posting by NNC. By continuing to access the Website and or Applications and use them after their public update, you agree to be bound by the GToU of such Applications as modified.

2. Service Description

NNC is a digital Platform (Website and Applications for mobiles, tablet PCs and other smart devices and/or any other interface permitting access to the Website and/or Applications) introducing Users, meaning a Visitor that has voluntarily created a personal profile to book and/or organize a NNC social exchange meeting with a Host that has him/herself voluntarily created a personal profile and providing a Meeting Point in which s/he details the Menu, schedules, rates and Options.

3. Ban on Alcoholic Drinks

NNC does not endorse or promotes in any case the consumption of alcoholic beverages with or instead of a hot beverage. No host using the NNC Website and Applications platform has a right to distribute, sell and resell alcoholic drinks. Any violator of this rule see the suspended profile automatically, without prior notice and will be liable to legal action before all relevant courts and entirely at the own expense.

4. Non-Commercial Use

By registering on the NNC platforms, you are consenting to your use of the introduction Service will be provided for personal and NEVER for commercial purposes. In the event your income for the use of the NNC Service through its Website and Applications platforms exceed $30 000 CAD (thirty thousand Canadian dollars) during a fiscal tax year, you are under obligation to make a report to the competent tax authorities. NNC may need to provide a copy of the receipts attesting income that you earned as a result of the use of the service. Please note that the information above is provided for information purposes and is not a substitute for advices given by a tax or accounting professional.

5. Nok Nok Café Inc. Legal Provisions

The Website and Applications are the properties of NNC and are published and managed by NNC to facilitate meetings between Hosts and Visitors.

Nok Nok CAFE is a trademark now being registered under the number 1,835,563.

Nok Nok Café carries out its activities under the Nok Nok CAFE name.

Nok Nok Café offices are located at 50 Queen Street, suite 203 South in Montreal, H3C 2N5 in the Province of Quebec, Canada.

The personal data related to users (Hosts and Visitors) is collected, saved and stored in accordance with the provisions of the Privacy Act.

The hosting of data related to NNC digital and Web applications is contractually provided by the international data hosting company OVH Inc. located at 1801 Ave McGill College, Montréal QC H3A 2N4.

6. Registering on the NNC Platforms

Registration is a prerequisite to the use of the NNC platforms and is free. The user must be at least be 18 years old on the day of the registration.

You can register on the NNC platforms as a Host and/or Visitors. Registration is only done once at Profile creation and you may become Host and Visitor at any time of your NNC experience.

The NNC User agrees to fill in the fields provided in the registration form available on the Website and Applications. S/he also agrees to the terms described and to provide the name, address, cell phone number, age, email and a valid payment method. The information must be valid, honest and kept up-to-date.

By registering on the Site and Applications, the NNC User is assigned a unique ID and personal password that s/he selects him/herself and must keep private. The NNC User is the only individual authorized to use the ID and password for the purpose of identifying him/herself on the Website and Applications. The NNC User agrees not to allow access to the Website and Applications, under the ID or pseudonym, to any other individual for any reason and context. The NNC User that has knowledge of another individual accessing, regularly or not, the NNC Website and Applications with the ID and password, agrees to immediately notify NNC by email at support@noknokcafe.com, so that NNC can take appropriate actions to that effect.

The NNC user agrees not to choose an identifier infringing the rights of a third party. The NNC user will not, for example, use an ID infringing on an intellectual property right, a trademark, or a corporate name. The ID will also not use any word that could be interpreted as discriminatory to any family name, race, and sex or as misogynistic, vulgar. Names used for the ID must be the User’s, as any name using, directly or indirectly, personal information. NNC recommends using your own first and last names or friendly-sounding nicknames.

The NNC user agrees to not create or use other accounts than the one originally created by him, either under the own identity or that of third parties. Any exception to this rule is subject to an explicit request to that effect made by the User and a specific written authorization by NNC. The NNC User therefore agrees to make an official email request to NNC that describes the reasons underlying the request and mentions the involved third parties. Creating or using different accounts under your own identity or that of third parties without having obtained prior NNC consent could result in the immediate suspension or deletion of the NNC User accounts and all associated Services, irrespective of the legal actions that NNC could engage in compensation for the damage suffered.

In case of dispute between NNC Users and NNC or between NNC Users, NNC users acknowledge and agree that NNC can produce all or part of the records relating to the use of the Website and Applications made by the NNC Users, including personal access codes saved on NNC servers, subject to legal provisions as well as all relevant information in its possession.

If a NNC User loses the ID or password, s/he will be able to create a new password directly on the NNC platforms at the time the next login.

Each individual registering on the NNC Platform does so as an individual, in the own name and not as a company representative. In the contrary, the individual must report the activities, the income, and supply any other declaration required by the legal and tax authorities concerned. ACCORDINGLY, YOU AGREE THAT THE USE OF NNC SERVICES IS DONE AT YOUR OWN RISK AND YOU AGREE TO TAKE ALL APPROPRIATE STEPS IN ORDER TO REPORT YOUR ACTIVITY. YOU ACKNOWLEDGE THAT NNC HAS NO RESPONSIBILITY AND IS NOT LIABLE FOR ANY SERVICE PROVIDED OUTSIDE OF WHAT HAS BEEN STATED HEREIN EXPRESSLY.

7. Organization of NNC Meetings

As soon as the registration has been validated by NNC, the Host can post the Hot Beverage Menu of the choice on the NNC platforms. The Menu is unique to each host and will be accessible to all NNC Users.

The host agrees to complete all fields in the form made available by NNC in order to provide the most complete information possible to Visitors, so that any Visitor can make a booking request based on the information provided by the host.

NNC reserves the right to not publish or stop the distribution of a NNC Meeting announcement in the following, but not limited to, cases:

  • The announcement does not meet the requirements of NNC Standard of Services.
  • The announcement does not contain the minimum required information, as asked for in the specific Menu and Options form, and as such does provide enough information to Visitors.
  • The announcement does not meet the quality and professionalism standards of NNC and that expected by NNC users.

Each Host agrees to post the Menu and Options online at least 24 hours, or 1 day, before the date s/he wishes to hold the NNC Meeting.

The Host agrees to regularly update the schedule and availability. The Host always has the opportunity to make him/herself unavailable for any length of time s/he so choses.

The Host has the possibility to accept or decline Visitors wishing to book a NNC meeting that they organize, and this without any justification. However, the host should at no time display behaviour that may be interpreted as discriminatory including but not limited to a refusal based on considerations related exclusively to the surname, first name, sex, age, nationality, race, religion, disability, sexual orientation, political opinions, or to the profession of a guest. The acceptance or refusal must be confirmed by the Host, on the NNC platforms, within a reasonable time following the request made by the Visitors.

NNC may request a justification to a host who refused three bookings of NNC meeting that s/he has him/herself posted online on the NNC Website or Applications. In this case, NNC reserves the right to suspend or delete the account of the NNC user concerned after receiving justifications from the Host.

8. NNC Standard of Service

The NNC Standard of Services are criteria guaranteeing the proper operation of the NNC meetings living up to the expectations of Visitors.

The Host agrees to greet visitors in a location s/he is authorized to use and for which civil liability insurance (private or professional) covering material or physical damage to a third party whether by negligence, carelessness, the children, employees, pets or things for which s/he is responsible is in effect.

The host agrees that the planned location for the meetings will be clean, well-lit, heated in cold weather, air conditioned or with working windows in hot weather, safe and easily accessible.

The host is agrees to providing a quality service allowing the NNC visitors to feel comfortable, welcomed, safe and promoting friendly exchanges.

The host agrees to serve the beverages in the best hygienic conditions.

The Host agrees not to offer NNC Visitors alcohol, illegal drugs or beverages not listed in the menu under penalty of automatic Profile suspension and legal action on the part of NNC.

The Host agrees to immediately put an end to any NNC Meeting when one or more Visitors are disrupting the friendly atmosphere of a Meeting.

The Host refrain from compromising the integrity of Visitors or causing physical or material damage to Visitors. In the event of damage suffered by visitors, personal or material, the Host will have to compensate Visitors under pain of legal action. NNC not being in any way the organizer of the Meetings, its responsibility can in no way be held liable. NNC however reserves the right to intervene as a party through an intervention.

NNC cannot tolerate any verbal or physical violence during the meetings and any user with such behaviour will have the Profile permanently suspended and/or cancelled without notice.

9. NNC Meeting Bookings

On receiving booking requests by email from Visitors, the Host can either accept or not the booking request. The Visitor then receives an email reply informing him/her of the acceptance or refusal of their reservation. In the event the booking is accepted, the Visitor receives a confirmation enabling him/her to validate the date, time and to know the address of the Host. The Visitor will also receive, within a reasonable time prior to the NNC Meeting, a reminder about the date, time of the NNC meeting and practical information is related, including the Meeting Point address and any required access codes. The Visitor will have the opportunity to cancel the presence at a NNC Meeting during this period. However, NNC invites guests and visitors to meet their commitments for the smooth operation of the Service.

After each meeting, NNC will send to the Visitors that have taken part in a NNC Meeting a survey to assess the Host performance as well as their appreciation of NNC platforms. Criteria are defined by NNC and cover product, service, atmosphere and exchange quality. The assessment must be performed with objectivity based on those criteria.

10. Trust of Community Members (Scoring System)

NNC will feature a star-based scoring system, or any other similar system, in User accounts. This allows everyone to build a reputation within the NNC community and retain its user base through targeted actions of reputation building.

11. Voluntary and Confidential Denunciation

NNC advocates the civil behaviour of its users at any time, on its platforms, social media and in person, with the greatest respect for each individual. No action infringing on the reputation, physical integrity, self-esteem, self-confidence, will be tolerated, including, but without limitation, actions, comments and actions of a racist, sexist, physical, religious or political nature. Otherwise, NNC asks its users to voluntarily and confidentially report such acts by sending an email to NNC at contact@noknokcafe.com providing information about the User involved, as well as the details of the situation so that NNC can take appropriate measures.

12. Illegal Content

If you witness the presence of Illegal Content on the NNC Website and Applications, you can send an email to that effect to contact@noknokcafe.comwith the following information: (a) identification about the content involved; (b) information helping us to locate this content on the NNC Website and Applications; (c) information to help us contact you (first name, last name, email, phone number), and, if applicable, the name of the person on whose behalf you are acting and the mailing address; (d) proof, if applicable, that you are the intellectual property owner or owner of the image rights, the person affected, or authorized to act on behalf of the person affected

13. NNC Obligations

NNC agrees to make available to visitors, through its Website and Applications, the proposed Menu, Options as well as schedules provided by the Hosts. NNC is mandated by the Hosts to make all their proposals available to Visitors.

NNC agrees to ensure the processing of all claims, questions and comments according to the procedure defined in these terms.

14. Host Obligations

The Host agrees to respect the terms and conditions of the NNC Standard of Services.

The Host agrees to providing all the information and descriptions required in the forms found on the NNC Website and Applications to allow the visitors to be fully informed of the terms and conditions of the NNC Meeting to decide whether to register or not.

The Host agrees that any NNC Meeting proposal will correspond to a service of which s/he is responsible in terms of organization and disposition. The Host also agrees to comply with the information s/he has him/herself posted on the Website and Applications.

The host is solely responsible to inform Visitors on all the essential details of the NNC Meeting and relieves NNC of any claim relating to the content and the form of the information given.

The Host is responsible for the purchase, at its own expense, of food, condiments, products, soft drinks, etc. that will be served during the meeting. The host is responsible for providing, at the own expense, all products, media, used during the meeting, including elements of decoration, tableware, utensils, table and chairs, music, displays, etc. The Host shall accordingly not claim a compensation or reimbursement of expenses to NNC.

The host sets the price of beverages offered during the meeting. The visitor freely accepts these prices to attend the aforementioned meeting.

The full price of the Meeting will be reimbursed to the host minus NNC service charges at a flat rate amounting to 20% of the price of the NNC meeting. These charges levied by NNC at the time the payment of the Host is processed cover the fixed costs of the NNC Website and Applications (payment system, hosting platform, staff…). Payment of NNC meetings, and NNC service charges are entirely borne by visitors. NNC acts as an intermediary when initiating contact between Hosts and Visitors, searching for profiles, booking, validating the payment and the financial transaction between these individuals, namely the visitors and guests.

THE HOST IS NOT A NNC EMPLOYEE THERE IS NO RELATIONSHIP OF SUBORDINATION BETWEEN NNC AND THE HOSTS. THE HOSTS ACT AS INDIVIDUALS AND NOT AS PROFESSIONALS.

The Host shall refrain, during the Meeting, to provide comments contrary to the Law or rules of good civil behaviour, to offer any product or service other than those in exclusive connection with the provision of a NNC meeting, to use the NNC meeting for commercial or promotional purposes, directly or indirectly, in order to promote a product or service provided by him/her or by a third party.

Any Host who does not respect the NNC Standard of Services or this ToS could have the Profile suspended and/or cancelled by NNC, without notice, notwithstanding the rights to assert any claim in the event where NNC or the Visitors would have suffered injury, direct or indirect, as a result of the Host.

The Host is solely responsible for the NNC meetings held and particularly for damage and/or injury caused as a result, including poisoning, disease or any other inconvenience suffered by physical visitors and related to products and/or beverages served during the NNC meetings by the Host.

IT IS THE HOST’S RESPONSIBILITY TO VALIDATE VERBALLY AT THE MEETING WITH THE VISITORS IF THEY HAVE ANY FOOD-BASED OR OTHER ALLERGIES, INTOLERANCES, AND OTHER INCONVENIENCES.

The Host is the only liable party in the event of an accident of a Visitor at the Meeting Point. Accordingly, it is for each guest to have an insurance policy covering civil liability and ensure with the insurance company that s/he is covered for any accidents that may occur in the context of a NNC meeting.

15. Obligations of Visitors

Visitors agree to show up at the Meeting Point planned by the organizing Host. The Visitor will do the best to be on time.

The Visitor will specify the intolerances or allergies at the time of the creation of the Profile.

IT IS ALSO THE RESPONSIBILITY OF THE VISITOR TO VERBALLY INFORM THE HOST OF ALL THE ALLERGIES, INTOLERANCES AND OTHER INCONVENIENCES RELATIVELY TO FOOD PRODUCTS OR OTHER.

In case of delay, the visitors will have to inform the Host, without any delay, and provide an estimate of its new arrival time. The host is not required to welcome visitors if they arrive with more than 30 minutes late on the planned schedule and with a maximum of 30 minutes remaining on the schedule given on the Host Profile found on the NNC Website and Applications and previously accepted by the Visitors.

During the course of the NNC meeting, the Visitor is under the obligation to be courteous, friendly, and respectful towards the Host as well as to other visitors.

The Visitor is solely responsible for the behaviour in the Host’s home. Accordingly, s/he must behave appropriately and courteously. Any physical or moral harm which would be suffered by the Host or any degradation of the home or property of the Host will be the sole responsibility of the visitor.

The Visitor shall not adversely affect the integrity of the Host and that of other Visitors or make him/herself responsible for damage at the Meeting Point provided by the Host. In the event of damage suffered by the Host, personal or material, the Visitor will have to compensate the host under penalty of prosecution. SINCE NNC IS IN WAY THE ORGANIZER OF NNC MEETINGS, ITS LIABILITY CANNOT BE COMMITTED BUT NNC IS ENTITLED TO SEEK ANY LEGAL REMEDY AVAILABLE BEFORE THE COMPETENT COURTS TO OBTAIN REDRESS FOR ANY INJURY INCURRED.

After each meeting, NNC will send to the Visitors that have taken part in a NNC Meeting a survey to assess the Host performance as well as their appreciation of NNC platforms. Criteria are defined by NNC and cover product, service, atmosphere and exchange quality. The assessment must be performed with objectivity based on those criteria.

16. NNC Credit Purchase Process (Visitors)

NNC offers users the opportunity to purchase the NNC Credits on their profile to limit trading on each beverage costs. These NNC Credits are available in $5 increments ($5, $10, $15, $20, $25). Visitors agree to have a MINIMUM of $5 NNC Credits NNC at any time. If this is not the case, s/he will not be able to make any booking request and a purchase of Credits NNC action will be then proposed to him.

Credit purchases are made directly on the NNC Website and the Applications using secure payment provided by the Stripe Company. Users using the payment system agree to accept the General Terms of Use of the Stripe Service. NNC does not have any access to the confidential banking data (the 16-digit credit card number and expiration date and the CVV code) which are directly transmitted encrypted on the server of the bank.

The NNC credits have no limit in time. Any request for the reimbursement of credits must be made by email to contact@noknokcafe.com. Service fees amounting to 20% of the full reimbursable amount will be applied.

Please note that the Host is free to set the price of the non-alcoholic beverages.

NNC agrees to provide each Visitor with an access to its booking history at all time.

17. Payment of NNC (Hosts) Meetings

The payment of the contribution requested by the Host for a NNC meeting, minus the NNC 20% service charge from the full price of the Meeting, is done automatically by transfer on the 28 of each month for beverages invoiced and paid for by Visitors between the 25th of the preceding month and the 24th of the current month.

NNC agrees to provide each Host, on an individual basis, a monthly email report detailing all NNC meetings held during this period.

To receive your payment, NNC demands you to complete your banking information via our partner Stripe. You will then be redirected to the address https://connect.stripe.com/ in which fields are pre-filled for your convenience.

18. Claims and Unpaid Balance

Any financial claim whatever it is, must be imperatively addressed by email to NNC at support@noknokcafe.com. The claim must be detailed and clearly indicates the reasons for the disagreement. The User who files a claim can remove it at any time. This withdrawal is final.

Users will act promptly to the good resolution of the claim. They will cooperate with NNC and provide the documents necessary to process this claim. They agree to respect the terms of treatment of claims that will be provided by NNC. The claim will not be processed of these terms are not respected.

In case of claims and until the dispute is resolved, User Profiles may be suspended by NNC. If a User is the subject of many claims, NNC also reserves the right to delete the Profile of this User.

19. Cancellation by Visitors

The Visitor will be able to cancel the booking and agrees to do so within a reasonable time before the organization of the meeting. NNC will automatically send the visitor an email with clickable links to reconfirm or recancel the booking with the Host. In the event that the Visitor does not cancel the reservation and does not show up at a Meeting, the Visitor will then be billed a flat rate of $3.40 which corresponds to the average price of a hot beverage in Canada to help cover the cost incurred by the Host during Meeting preparation (time, material, products).

In the event of a Visitor having a high cancellation rate, NC also reserves the right to delete the latter’s Profile.

20. Host Cancellation

The Host can cancel the availability and as long as s/he does so in a reasonable time before the Meeting is held. NNC will automatically send the Host an email with clickable links to reconfirm or recancel the availability to visitors.

In the event where the Host does not cancel the availability for the aforementioned Meeting, NNC may at its discretion suspend the account of the host until the latter to provide NNC a justification for this cancellation.

The meeting being exclusively offered and organized by the Host, the role of NNC is limited to make the Website and the Applications available to Users and post proposals made by the Host online (product schedules, services…). NNC shall in no case be held liable for any delay or cancellation, Visitors do not have the right to bring any claim in this regard.

In the event of a Host having a high cancellation rate, NNC also reserves the right to delete the latter’s Profile.

21. Limitation of Liability and Insurance

THE WEBSITE AND APPLICATIONS ALLOW USERS TO CONNECT AND FACILITATE THE BOOKING OF NNC MEETINGS. USERS ARE THE ONLY DECISION MAKERS IN THE ORGANIZATION AND BOOKING OF NNC MEETINGS. NNC ONLY ACTS AS AN INTERMEDIARY TO FACILITATE THEIR INTRODUCTION, NNC’S LIABILITY CANNOT BE HELD LIABLE FOR THE ORGANIZATION AND OPERATION OF NNC MEETINGS.

NNC CANNOT IN ANY EVENT BE REGARDED AS THE ORGANIZER OF THE NNC MEETINGS WITHIN THE INTRODUCTION OF USERS. NNC ALSO CANNOT BE HELD RESPONSIBLE FOR THE QUALITY AND CLEANLINESS OF LOCATIONS WHERE NNC MEETINGS ARE HELD OR HELD LIABLE FOR THE QUALITY OF THE PRODUCTS, FOOD AND BEVERAGES PROVIDED BY THE HOSTS TO THE VISITORS. NNC CANNOT BE HELD LIABLE FOR THE FAILURE TO RESPECT DATES AND SCHEDULES PROVIDED BY HOSTS.

NNC CANNOT BE HELD LIABLE FOR THE RATES PROPOSED BY HOSTS. HOWEVER, A FINANCIAL LOGIC IS APPLIED BY DEFAULT.

NNC CANNOT GUARANTEE THAT NNC MEETINGS ORGANIZED BY THE HOSTS WILL MATCH VISITORS’ EXPECTATIONS. SIMILARLY, NNC CANNOT GUARANTEE GUESTS THAT A RESERVATION WILL NOT BE CANCELLED BY A VISITOR OR THAT VISITORS WILL NOT SUBSEQUENTLY FILE A CLAIM AFTER A NNC MEETING.

NNC CANNOT BE HELD LIABLE FOR ANY DAMAGES, INCLUDING MORAL, PHYSICAL OR MATERIAL SUFFERED BY A NNC USER. NNC DOES NOT GUARANTEE THE QUALITY, ADEQUACY, SAFETY OR THE QUALITY OF THE PRODUCTS AND/OR SERVICES OF THE HOST. YOU AGREE THAT THE RISKS ARISING FROM PARTICIPATION IN A NNC MEETING AND ANY ACTIVITY RESULTING ARE WHOLLY YOURS AND YOURS ONLY INSOFAR AS ALLOWED BY APPLICABLE LAWS.

NNC CANNOT BE HELD LIABLE FOR COMMENTS POSTED ONLINE ON ITS WEBSITE AND APPLICATIONS BY USERS THAT MAY BE CONSIDERED OFFENSIVE, SLANDEROUS, IMMORAL AND CONTRARY TO LAWS IN FORCE. ANY SUCH COMMENTS WILL BE IMMEDIATELY REMOVED FROM THE WEBSITE AND/OR APPLICATIONS AT OUR DISCRETION IF THIS IS THE CASE.

NNC CANNOT BE HELD RESPONSIBLE FOR ANY EVENTUAL MALFUNCTION, BREAKDOWN, DELAY OR INTERRUPTION OF ACCESS TO THE INTERNET.

The NNC Website and the Applications are likely to include hypertext links to other websites owned and/or operated by individuals other than NNC (hereinafter referred to as the “third party websites”).

NNC SHALL UNDER NO CIRCUMSTANCES BE HELD LIABLE FOR THE CONTENT, SERVICES OFFERED AND PRODUCTS PROPOSED BY THESE THIRD PARTIES. NOTE THAT WHILE THIS LIST IS NOT EXHAUSTIVE, NNC CANNOT BE HELD RESPONSIBLE FOR THE ACCURACY, RELEVANCE OR COMPLETENESS OF THE CONTENT OF SUCH THIRD-PARTY WEBSITES.

NNC CANNOT BE HELD LIABLE IN THE EVENT OF A FAILURE OF THE PAYMENT SERVICE PROPOSED BY ITS STRIPE PARTNER.

22. Termination

The contract by which each User gives a mandate to NNC to allow him/her to enter into relationships with any other NNC users to organize or book NNC meetings is a permanent contract. As such, this contract can be terminated, at any time, by NNC or a NNC User without cause by a simple mail notification or by simply closing a personal User Profile.

In the case where a NNC user would violate the ToU or, more generally, would be or would be in violation of any legal or regulatory provisions applicable, NNC reserves the right to suspend or delete the profile, access to the NNC website and Applications, without prejudice to the rights of NNC to obtain redress for any injury sustained.

23. Other Provisions

NNC has the ability to modify these terms according to market and offer evolution. Any change will take effect immediately for online offerings from their notification to users. They will not apply for current transactions at the time of their entry into force.

The invalidity of one or more provisions of these Terms of Use shall not invalidate the remaining Terms of Use

Occasionally, NNC can interrupt the access to the Website and Applications for operational reasons, maintenance or emergency, with or without notice to its users.

24. Jurisdiction and Applicable law

These terms, the business introduction service, usage of the Website and the NNC Applications are subject to Canadian law.

Save for clauses contrary to Public Order, all disputes or disputes between NNC and yourself regarding the interpretation or execution of these terms will be of the exclusive competence of the Province of Quebec courts, jurisdiction of Montreal.

Before referring the matter to the competent court as part of a dispute or litigation, NNC invites you (although this is not an obligation) to first contact our claims department to try to amicably resolve this dispute or litigation. Our claims department can be contacted:
